Who it's for

Who needs this service?

Every Private Limited Company registered under the Companies Act, 2013 — no exceptions for turnover, activity, or how long ago you incorporated.

Every registered Pvt Ltd

Whether you're a startup or an established company, AOC-4 and MGT-7 are due every single year.

Dormant or pre-revenue companies

Even with zero transactions, filing is still mandatory — "no activity" does not mean "exempt".

Newly incorporated companies

Your first annual filing is due after your first AGM, usually within a year of incorporation.

Companies switching accountants

We take over ongoing compliance smoothly, using your prior filings and incorporation documents.

Funded startups

Investors and lenders expect clean, on-time ROC filings as part of diligence.

Companies catching up on backlog

If you've missed a year or more, we can help file pending returns and manage the penalty exposure.

Overview

Forms included in Pvt Ltd annual filing

A Private Limited Company's annual compliance centres on three linked filings: your audited financial statements (AOC-4), your annual return (MGT-7), and the director's report that accompanies both — all built on the board meetings and AGM held during the year.

These aren't independent forms; each depends on the ones before it. The AGM approves your financials and the director's report, AOC-4 files those financials, and MGT-7 captures the company's structure and activity for the year. We prepare all three as one coordinated filing.

Filing 01AOC-4 FilingWithin 30 days of AGM

AOC-4 files your audited balance sheet, profit & loss statement, cash flow statement and auditor's report with the ROC — the financial half of your annual filing.

Filing 02MGT-7 FilingWithin 60 days of AGM

MGT-7 is the company's annual return — shareholding pattern, director details, indebtedness and other structural disclosures for the year.

FAQ

Pvt Ltd Annual Filing, answered.

Do I need to file AOC-4 and MGT-7 if my company had zero turnover?

Yes. Both filings are mandatory every year regardless of turnover or activity — even a dormant company must file.

Do AOC-4 and MGT-7 have the same due date?

No. AOC-4 is due within 30 days of the AGM, while MGT-7 is due within 60 days of the AGM — both are calculated from the same AGM date.

What is the director's report and who prepares it?

It's a statutory report from the board summarising the year's operations and mandatory disclosures, attached to AOC-4. We draft it for the board's approval ahead of the AGM.

What happens if I miss the due date?

A late fee of ₹100 per day per form applies with no upper cap, plus an additional government fee. Repeated non-filing can lead to director disqualification and the company being struck off.

Can you handle this if another CA registered my company?

Yes. We regularly take over ongoing compliance for companies incorporated elsewhere — we just need your incorporation documents and prior filings to get started.

Do you also handle the statutory audit?

Yes, we can — it's quoted separately from the annual filing fee, or bundled if you're already on one of our annual compliance plans.

Never miss an ROC deadline again.
